EPAP Ukraine advised Nokia

The competition practice team at EPAP Ukraine has assisted Nokia Corporation in obtaining regulatory clearance from the Antimonopoly Committee of Ukraine for the EUR 15.6 billion acquisition of Alcatel-Lucent. In April 2015 Nokia and Alcatel-Lucent announced their intention to merge so as to create an innovation leader in next generation technology and services for an IP connected world. Each company’s Board of Directors has approved the terms of the proposed transaction, which is expected to close in the first half of 2016. The competition team led by partner Oksana Ilchenko and associate Oksana Franko was working on this mandate.

 

Avellum Partners advised Mohawk Industries, Inc

Avellum Partners advised Mohawk Industries, Inc in connection with obtaining merger control clearance from the Antimonopoly Committee of Ukraine for the acquisition of the IVC Group. The estimated transaction value is USD 1.2 billion, which is a combination of cash and equity.

Mohawk Industries, Inc. is the leading global flooring manufacturer that creates products to enhance residential and commercial spaces around the world. The IVC Group is a major manufacturer of sheet vinyl, luxury vinyl tile (LVT) and laminate, with operations in Europe and the United States. IVC’s brands include Leoline, Flexitec, Itec and Moduleo. Avellum Partners team was led by associate Iaroslav Medvediev, with input from associate Andrii Gumenchuk, under the supervision of managing partner Mykola Stetsenko.

 

Acquisition by Actavis of Allergan company

Asters provided legal advice on Ukrainian merger control matters, including obtaining merger clearance from the Antimonopoly Committee of Ukraine, in connection with the acquisition by Actavis of control over Allergan, Inc. pharmaceutical company for USD 70.5 billion. Following the acquisition of Allergan and the approval of the name change by shareholders, Actavis announced that the company has adopted Allergan as its new global name.  The combination of Allergan and Actavis created one of the world’s top 10 pharmaceutical companies in terms of revenue. Asters’ team advising on the project included partner Igor Svechkar and associate Sergiy Glushchenko.

 

Sytnyk & Partners advised Robert Bosch GmbH

Sytnyk & Partners advised Robert Bosch GmbH in obtaining a merger clearance in connection with indirect acquisition (through Robert Bosch, B.V. (Boxtel, the Netherlands) of assets in TTA International B.V.

The firm advised Robert Bosch GmbH in obtaining merger clearance in connection with indirect acquisition (through Robert Bosch, LLC (Broadview, USA) of shares in Seeo, Inc. that will confer more than 50% of the voting rights in the highest management body of the company.

The team advising on transactions was led by managing partner Denys Sytnyk and consisted of senior associate Liudmyla Gorodnycha, associate Anna Synytsya, as well as junior associate Olga Stoliarchuk.

 

DLA Piper advised shareholders of Pharma Start

DLA Piper has acted as a legal counsel to shareholders of Pharma Start LLC in connection with the sale of a 100% stake in Pharma Start to Acino Pharma AG. DLA Piper team provided shareholders of Pharma Start with full legal support in the transaction, starting from pre-sale matters right to its closure. The firm’s services included drafting and negotiation of all transactional documents, receiving clearances from the Antimonopoly Committee of Ukraine as well as closing support.

The transaction team was made up of legal directors Alla Kozachenko, Galyna Zagorodniuk, Illya Sverdlov, supervised by corporate and tax partners Margarita Karpenko and Svitlana Musienko and partner (IP) Natalia Pakhomovska.

 

Avellum Partners advised Bayer AG

Avellum Partners àdvised Bayer AG on corporate, contractual and employment issues related to the global spin-off of Bayer Material-Science AG, which now operates under the Ñovestro AG name as an independent entity.

Avellum Partners advised Bayer AG on structuring the transfer of employees, appointment of a CEO of the new Ukrainian entity, structuring of employment relations and advising on the transfer of fringe benefits. Avellum also advised on issues related to transfer of contracts and assets and general corporate issues within this transaction.

The team working on this project was led by managing partner Mykola Stetsenko, with significant support from associates Yuriy Zaremba and Andriy Gumenchuk.
