Vasil Kisil & Partners advised Epicenter

Epicenter has acquired a group of buildings of the former Alta Center Shopping Mall in Kiev. The operations of Alta Center as a shopping mall have therefore been terminated. Obviously, the buyer will use the vacated buildings and land plots to build a hypermarket.

Vasil Kisil & Partners acted as a legal counsel to Epicenter. VKP’s lawyers advised on structuring the transaction, including the procedure for settlements and provision of security for the parties’ obligations, drafted all the necessary preliminary and definitive property purchase agreements, payment security agreements and other transaction documents and participated in negotiations on them. VKP provided legal advice on the termination of operations of Alta Center, re-execution of land lease agreements and compliance with antitrust laws when entering into the agreements, etc.

AVELLUM advised Altran

AVELLUM advised Altran, a global leader in innovation and high‐tech engineering consulting, on the acquisition of Lohika, a software engineering services firm.

Latham & Watkins LLP acted as the global legal advisor to Altran, while AVELLUM advised on Ukrainian law matters. With the integration of Lohika, Altran takes a new step towards its positioning as a leader in software engineering and R&D in North America. The transaction will also enable Altran to reinforce its solutions portfolio in the development of software products.

AVELLUM team was led by the managing partner, Mykola Stetsenko, and counsel, Yuriy Nechayev, with significant support from senior associate, Oleksandr Polonyk, and associates, Yaroslav Medvediev and Andriy Gumenchuk.

 

Sayenko Kharenko advised EBRD

Sayenko Kharenko acted as legal counsel to the European Bank for Reconstruction and Development on providing a loan of up to USD 20 million to the subsidiaries of Industrial Milk Company (IMC Group), Ukrainian agricultural holding listed on the Warsaw Stock Exchange and involved in corn, sunflower, wheat, soybean, potato and dairy farming. The deal is expected to provide much needed pre- and post-harvest financing essential for the successful operations of the company’s export-oriented business.

Horizon Capital acquired majority stake in Datagroup

Baker & McKenzie’s Kiev office advised Horizon Capital, a leading private equity firm in Ukraine, on the increase of its stake in Datagroup, a leading independent telecom operator in Ukraine, from a significant minority to over 70%.

AVELLUM advised Custos Invest & Finance Inc., one of Datagroup’s shareholders.

Upon completion of this transaction, Horizon Capital will become a majority shareholder and will undertake operational control of the company. Following completion of this transaction, Horizon Capital has assumed operational control of Datagroup.

Aequo advised Dragon Capital on Pyramid Shopping Mall acquisition

Aequo has advised Dragon Capital Investments Limited, a member of Dragon Capital group of companies, on Pyramid Shopping Mall acquisition. The transaction was done by purchasing from a group of American and British investors a 100% shareholding in 1849-Apollo Overseas I Limited (Cyprus), the founder of Atlantic-Pacific Ventures LLC (Kiev), being registered as the owner of the shopping mall. The parties agreed to keep the value of the deal confidential.

Aequo project team included senior associate Bohdan Dmukhovskyy and counsel Maryna Fedorenko, who worked under the supervision of partner Yulia Kyrpa.

 

Asters advised Quinn Emanuel Urquhart & Sullivan

Asters assisted Quinn Emanuel Urquhart & Sullivan, the lead counsel to JSC Oschadbank, on the issues of Ukrainian law and factual developments in a matter concerning restoration of Crimea-related rights and interests of JSC Oschadbank through an international investment protection mechanism.

On 26 August 2016 JSC Oschadbank filed a claim for recovery of over USD 1 billion in compensation for its losses in Crimea. Asters’ key team working on this project included managing partner Oleksiy Didkovskiy, partner Svitlana Chepurna, and associates Anna Tkachova, Maryna Golovko, and Anastasiia Bereziuk.
